1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Teametix ("Company," "we," "us," or "our") concerning your access to and use of the Teametix HR management platform and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

2. Account Registration and Security

2.1 Account Creation

To use our Services, you must create an account by providing accurate, complete, and current information. You represent that all information you provide is truthful and accurate.

2.2 Account Security

3. Subscription and Payment

3.1 Free Trial

We offer a 30-day free trial with no credit card required. During the trial period, you have access to all features. The trial automatically expires after 30 days unless you subscribe to a paid plan.

3.2 Paid Subscriptions

• •We reserve the right to change pricing with 30 days' notice
• •Failure to pay may result in suspension or termination of your account

3.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel your subscription at any time through your account settings.

4. Acceptable Use Policy

You agree not to:

• •Violate any laws, regulations, or third-party rights
• •Transmit viruses, malware, or other harmful code
• •Attempt to gain unauthorized access to our systems or networks
• •Interfere with or disrupt the Services or servers
• •Reverse engineer, decompile, or disassemble any part of the Services
• •Use automated systems to access the Services without permission
• •Share your account credentials with unauthorized parties

5. Data Ownership and Privacy

5.1 Your Data

You retain all rights to the data you upload to our Services ("Customer Data"). You grant us a limited license to use, store, and process Customer Data solely to provide the Services.

5.2 Data Security

We implement industry-standard security measures to protect your data. However, you acknowledge that no system is completely secure, and we cannot guarantee absolute security.

5.3 Privacy Policy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

6. Intellectual Property Rights

6.1 Our Rights

The Services, including all software, designs, text, graphics, logos, and other content, are owned by Teametix and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

6.2 License to Use

We grant you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes, subject to these Terms.

7. Service Availability and Support

7.1 Uptime

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice.

7.2 Support

We provide customer support via email and in-app messaging. Support response times vary based on your subscription plan.

7.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.

8. Termination

8.1 Termination by You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

8.2 Termination by Us

We may suspend or terminate your account immediately if you violate these Terms, fail to pay fees, or engage in fraudulent activity.

8.3 Effect of Termination

Upon termination, your access to the Services will cease, and we may delete your data after 90 days unless required to retain it by law. You can export your data before termination.

9. Disclaimers and Limitations of Liability

9.1 Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEAMETIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Teametix, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• •Your violation of these Terms
• •Your violation of any third-party rights
• •Your Customer Data

11. Dispute Resolution

11.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@teametix.com to resolve the dispute informally.

11.2 Governing Law

These Terms are governed by the laws of Sri Lanka, without regard to conflict of law principles.

11.3 Jurisdiction

Any disputes shall be resolved in the courts of Sri Lanka, and you consent to the exclusive jurisdiction of such courts.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Teametix regarding the Services.

12.2 Amendments

We may update these Terms from time to time. We will notify you of material changes via email or through the Services. Continued use after changes constitutes acceptance.

12.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

12.4 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

12.5 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.
